General Terms & Conditions

1. Object
These terms govern the services offered by DYB SAS, namely custom application development, cybersecurity audit and consulting, managed services and AI solution rollout.
2. Quote and order
Every engagement is the subject of a detailed quote issued by DYB. The quote signed by the client constitutes a firm order. Prices are in euros, excl. VAT, unless otherwise stated.
3. Payment terms
Unless otherwise agreed, services are invoiced as follows:
- 30% at order
- 40% mid-engagement (validation of functional specifications)
- 30% at delivery
Recurring services (managed services, maintenance) are invoiced monthly in advance. Payment terms: 30 days net from invoice date. Late-payment penalties: 3 times the legal interest rate, plus a flat €40 recovery fee.
4. Intellectual property
Source code specifically developed for the client is assigned to them upon full payment. Generic building blocks (frameworks, open-source libraries, DYB internal components) remain the property of their respective authors.
5. Confidentiality
DYB undertakes to treat as strictly confidential all information transmitted by the client. This obligation continues for 5 years after the end of the contract. On request, a specific NDA may be signed before any exchange.
6. Warranty
Deliverables are warranted for 3 months after go-live: DYB corrects free of charge any defect attributable to its code and within the defined scope. This warranty does not cover evolutions, modifications made by the client, or third-party failures.
7. Limitation of liability
DYB's liability is capped at the amount invoiced for the relevant engagement over the previous 12 months. Indirect damages (loss of revenue, loss of data not backed up by the client, etc.) are excluded.
8. Termination
Fixed-price service contracts: termination possible at any time with 30 days' notice, with pro-rata payment for work performed. Recurring contracts: 60 days' notice, save for specific clauses.
9. Applicable law and jurisdiction
These terms are governed by French law. In the event of a dispute and failing an amicable settlement, exclusive jurisdiction is granted to the Commercial Court of Romans-sur-Isère.
